Your year as an OMC director: the compliance calendar
The short answer
One AGM a year, with the notice, annual report and proxies before it, the minutes and CRO filings after it, and two registers kept up to date all year round.
A volunteer, and a company director
OMC directors are almost always unpaid owners. Under the Companies Act 2014, they are still company directors, with the same duties as any other. The concise guide for OMC directors published by the Housing Agency and Chartered Accountants Ireland lists the AGM among its ten key areas of good practice (Housing Agency).
The good news: the yearly work follows a fixed rhythm. Once you know it, it fits on one page.
Skipping the AGM is not an option
A company must hold an AGM every year, with no more than 15 months between one AGM and the next (ODCE). Some private companies can dispense with it, but a company limited by guarantee with more than one member cannot CA 2014 s.1202. The Multi-Unit Developments Act adds its own duty to meet once a year to consider the annual report MUD 2011 s.17(1).
Before the meeting
- Check the register of members. Units change hands, and membership follows the sale MUD 2011 s.8.
- Choose a date, a time and a place near the development MUD 2011 s.17(5).
- Send the notice 22 days ahead (23 by post) CA 2014 s.181. See how much notice an AGM needs.
- Send the annual report at least 10 days ahead, usually with the notice MUD 2011 s.17(4). See the nine items it must contain.
- Collect proxy forms until 48 hours before the start CA 2014 s.183. See the 48-hour rule.
After the meeting
- Write up the minutes as soon as possible, with the text of every resolution, and have them signed by the chairperson CA 2014 s.199. Signed minutes are evidence that the meeting was properly held.
- File any special resolution with the CRO within 15 days (CRO).
- Notify the CRO of any change of director or secretary within 14 days, with the new director’s signed consent CA 2014 s.149(8)–(10).
All year round
- Register of members: record a new member, and the date the previous owner ceased to be one, within 28 days of a sale CA 2014 s.169.
- Register of directors and secretary: keep every statutory particular current, and update it whenever anything changes CA 2014 s.149.
